End-User License Agreement and Terms of Service

These terms govern access to and use of StockToBuild, including its QuickBooks Online integration.

Effective September 29, 2026

Please read these terms carefully. By creating an account, connecting a QuickBooks Online company, or using StockToBuild, you agree to these terms. If you use StockToBuild for an organization, you represent that you have authority to bind that organization.

1. Provider and eligibility

StockToBuild is operated by West Coast Web Solutions, 1846 W 169th St, Gardena, California 90247, United States ("StockToBuild," "we," "us," or "our"). You must be at least 18 years old and legally able to enter into this agreement. Business users must have authority to access the data and QuickBooks company they connect.

2. License

Subject to these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use StockToBuild for your internal business operations during the period your account is authorized. No ownership rights are transferred.

3. Accounts and administrators

You must provide accurate account information and safeguard login credentials. The account owner or administrator controls employee access and roles and is responsible for authorized users' activity. Notify us promptly at sales@wcoastwebsolutions.com if you suspect unauthorized access.

4. QuickBooks Online integration

StockToBuild connects to QuickBooks Online only after authorization through Intuit. By connecting a company, you authorize StockToBuild to read and write the data required for features you choose to use, including inventory adjustments and reconciliation journal entries. You are responsible for confirming the correct company, accounts, products, quantities, dates, and transaction results.

Accounting and inventory changes can affect financial records and may not be automatically reversible. Review transactions and maintain appropriate backups and internal controls. StockToBuild is not an accounting, tax, legal, or financial adviser. Intuit may change or restrict its services, and QuickBooks availability is outside our control.

5. Acceptable use

You may not misuse StockToBuild, interfere with its operation, access it without authorization, probe or circumvent security controls, introduce malicious code, use it to violate law or third-party rights, resell or sublicense it without written permission, or reverse engineer it except where applicable law expressly permits. You may not use StockToBuild to process data you lack permission to use.

6. Your data

You retain ownership of data you submit or authorize StockToBuild to access. You grant us a limited right to host, process, transmit, and display that data solely as needed to operate, secure, support, and improve the service and comply with law. Our handling of personal information is described in the Privacy Policy.

7. Third-party services

StockToBuild relies on services provided by Intuit, Cloudflare, and other providers. Your use of QuickBooks Online is also governed by Intuit's terms and policies. We are not responsible for third-party services, their availability, or changes they make.

8. Service changes, availability, and support

We may improve, modify, suspend, or discontinue features. We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, security events, internet failures, third-party outages, or other circumstances may affect availability. Support requests may be sent to sales@wcoastwebsolutions.com.

9. Fees

If paid plans are offered, applicable pricing, billing frequency, taxes, renewal terms, and cancellation terms will be disclosed before purchase. Unless a separate written order or agreement says otherwise, changes to pricing apply prospectively.

10. Intellectual property

StockToBuild, its software, design, and related materials are owned by us or our licensors and are protected by intellectual-property laws. Feedback may be used without restriction or obligation, provided it does not identify you or disclose your confidential information.

11. Disclaimer of warranties

To the maximum extent permitted by law, StockToBuild is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that StockToBuild will meet every requirement, prevent every error, or produce accounting results appropriate for your circumstances. Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, arising from or related to StockToBuild. Our aggregate liability for all claims relating to the service will not exceed the greater of the amount you paid for StockToBuild during the 12 months before the event giving rise to the claim or US $100. These limits do not apply where prohibited by law.

13. Indemnification

To the extent permitted by law, you agree to defend and indemnify us from third-party claims, damages, and reasonable costs arising from your unlawful use of StockToBuild, your data, your violation of these terms, or your infringement of another party's rights.

14. Suspension and termination

You may stop using StockToBuild and disconnect QuickBooks at any time. We may suspend or terminate access for material breach, security risk, unlawful activity, nonpayment, or when required by law. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, and dispute terms.

15. Governing law and disputes

These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Unless applicable law requires otherwise, the state and federal courts located in Los Angeles County, California will have exclusive jurisdiction, and each party consents to that venue.

16. Changes and general terms

We may update these terms as the service changes. The effective date above will be revised, and material changes may also be communicated through the service or by email. If a provision is unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a business reorganization or transfer. These terms and any applicable written order form are the entire agreement about StockToBuild.
